1. ORDER ENTRY AND ACCEPTANCE
A. Orders are binding only when received by facsimile transmission, in writing or by actual shipment, whichever occurs first. Rite-Made Paper Converters, Inc. and its subsidiaries shall not be held liable failure or delay in processing and shipping orders due to circumstances beyond its control.
B. Orders may be entered by regular telephone, facsimile, or by mail. No guarantee of accuracy of telephone orders is made unless confirmation is received prior to shipment.
A. OPEN ACCOUNTS- net30. No discounts on current invoices, if prior invoices are past due. To be considered for an open credit line, account must have turned in completed sales tax exemption certificate as well as a completed and signed credit application form.
B. Minimum order for open account billing $250.00. In addition, all invoices for orders of less than $500.00 that are not paid for in advance will include a $15.00 processing fee.
C. 1.5% per month (18% annually) handling fee will be assessed beginning the 31st day after invoicing. (Note: shipments for customers may be put on credit-hold if their account becomes past-due or if they have unpaid handling charges.)
D. New accounts and accounts without approved credit requiring shipment by common carrier must pre pay all orders in accordance with the pricing policy and freight terms outlined on this page.
E. DROP SHIPMENTS- Shipping to a 3rd party is a service offered for customers purchasing monthly stock orders. See Sales Representative for specific account details.
3. PRICING POLICY
A. ALL PRICES SHOWN REPRESENT YOUR cost per case. BASED 0N STATED MINIMUM ORDER QUANTITIES.
B. All items combine for lowest possible pricing per shipment at one time, to one destination.
C. Orders entered which call for multiple ship dates will be priced separately based upon the quantity shipped on the individual releases.
4. FREIGHT POLICY
A. Minimum order, one -full carton.
B. Accounts placing orders for shipment via common carrier must have an established credit line or have prepaid their orders- No C.O.D. orders will be accepted for shipment via common carrier
C. Orders will be shipped from the nearest shipping point on a freight pre-paid or full-freight allowed basis at our option.
D. Items not stocked at nearest shipping point will be shipped plus freight.
E. On orders calling for split shipment, only one shipment will be made on a pre-paid or full-freight allowed basis and then only to a point which is in our normal service territory.
F. SPECIAL DELIVERY SERVICES-The cost for all special delivery services required by receiving party such as "inside delivery" and "lift gate delivery" will be added to invoice amount. "Waiting time" charges will be added if they result from failure of the receiving party to make scheduled appointments or overbooking of receiving facilities.
5. WILL-CALL ORDERS
A. Advance notice is required for all will-call orders. Please contact your representative for specific information concerning the hours of operation, procedures, and policies of your nearest stocking location.
B. Pricing and terms for individual warehouses will be in accordance with the program outlined by your representative and is subject to change without notice.
C. Orders placed for pick-up not claimed within 48 hours will be cancelled and returned to stock.
6. FREIGHT CLAIMS
A. Claims for damaged or mis-shipment must be made in writing within 15 days of receipt of merchandise.
B. Claims for damaged goods or shortages must be notated on the freight Bill of Lading at the time of receipt. In the event of hidden or concealed damage, notify Rite-Made in writing within 24 hours of receipt of shipment.
7. RETURNS AND EXCHANGES
A. Returns must be approved in writing prior to shipment and must be on a freight pre-paid basis.
B. Request for returns will only be considered on goods if the request is made within 6 months of the original invoice date.
C. Credit for approved returns will be issued up to 85% of the original billing price, less any original out-bound freight allowed and only for the quantity of goods found in re-salable condition.
A. Special product quotations are only guaranteed for 30 days unless otherwise noted.
B. All prices, terms, stocking items, and locations as are subject to change without notice and all shipments will be made at the price prevailing at the time of shipment.
C. Special making orders are subject to a 20% plus or minus variation in quantities, unless otherwise specified

SHALL NOT BE LIABLE FOR ANY LOSS, LIABILITY, OR DAMAGE OR INJURY, INCLUDING BUT NOT LIMITED TO INCIDENTAL, CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST INCOME OR PROFITS, ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF THE PARTIES HAVE KNOWLEDGE OF SUCH LOSS OR DAMAGES, OR SUCH LOSS OR DAMAGES ARE FORESEEABLE. RITE-MADE PAPER CONVERTERS, INC.’S LIABILITY SHALL BE LIMITED TO ITS CUSTOMERS AND SUCH LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE OF THE PRODUCT FROM WHICH THE DISPUTE ARISES. RITE-MADE PAPER CONVERTERS, INC. SHALL NOT BE LIABLE TO ANY THIRD PARTY OR USER OF THE PURCHASED PRODUCT WHO WAS NOT A CUSTOMER OF RITE-MADE PAPER CONVERTERS, INC.
